ART. 1 – PURPOSE

The Noi Vivi Arte project is addressed to artists and to all individuals who possess a creative drive and wish to share their artistic contribution.

Participation is open to anyone wishing to submit their artistic creation: Noi Vivi Arte is dedicated to art, but not exclusively to professional artists.

The project is aimed at the dissemination and promotion of art and creativity.

It is reserved solely for artistic content in the strict sense, namely all expressions of creativity recognized as art in terms of media, materials, and methods typical of the artistic practice, including contemporary art. Any expression not attributable to the recognized codes of art will therefore be excluded.

ART. 2 – THE PROMOTER

The project is promoted by STEELBLOOM Srl, with registered office in Via Serena no. 18, San Martino Buon Albergo (VR), VAT no. 05098840233, which may also avail itself of the collaboration of partners and third parties for the implementation and promotion of related activities.

ART. 3 – ELIGIBILITY

The competition is open to all artists/creators (individually or as a collective) who are of legal age at the time of registration.

Each artist/creator or collective may participate in the project by submitting up to fifteen works.

ART. 4 – ARTISTIC DISCIPLINES

The Noi Vivi Arte project is open to the following artistic disciplines:

• Photography (all techniques);
• Painting, sculpture, engraving, and drawing (all techniques and materials);
• Installation (in any material);
• Narrative (illustration – including comics – and verbo-visual languages in all techniques and materials that combine text and images; at least one image or cover is required).

The artistic contribution may be originally physical or digital, but must in any case be uploaded to the Noi Vivi Arte platform exclusively in digital format.

Works consisting solely of audio, solely of written text, or entirely generated using Artificial Intelligence programs are strictly excluded.

ART. 5 – TRANSFER OF MEDIA AND ECONOMIC RIGHTS

By participating in the project, the Author grants – on a non-exclusive basis – to STEELBLOOM Srl the digital medium containing the work, as well as the economic rights of use of the same for all cultural and exhibition purposes related to the project.

Any use of the digital reproduction of the work outside cultural and exhibition purposes must be formally authorized by the creator, with whom STEELBLOOM shall enter into a specific and separate agreement aimed at regulating such different use.

Any use of the work for commercial, merchandising, or promotional purposes must be expressly authorized in advance by the creator, with whom STEELBLOOM shall enter into a regular agreement to define the conditions of exploitation for such purposes.

ART. 6 – EXERCISE OF RIGHTS

STEELBLOOM Srl may not in any way exercise, unless expressly agreed in writing between the parties, the following rights relating to copyright and related rights concerning the media and contents, whether in whole or in part: reproduction, publication, transcription, communication to the public, distribution, rental, exhibition, sharing, elaboration, transformation into NFTs, or any other right connected with or related to the above, suitable for achieving the purposes of the project.

STEELBLOOM Srl is likewise not authorized to transfer, license, and/or sublicense the granted contents to third parties, nor to use them or allow them to be used by third parties in combination, together with, or separately from other contents of any kind or nature, including trademarks, logos, or texts.

ART. 7 – WEB

STEELBLOOM Srl is authorized to promote the economic exploitation of the media and contents through the Internet or other electronic or physical means, such as – by way of example – websites, social media/social networks, e-commerce sites, broadcasting channels, interactive applications, platforms (web, mobile, TV, etc.), as well as devices and tools for communication to the public (LED walls, PCs, notebooks, pendrives, CD-ROMs, Smart TVs, tablets, smartphones; newspapers, periodicals, magazines, editorials, columns, sector journals, including online), whether existing or yet to be invented.

STEELBLOOM Srl may disseminate and/or communicate the contents, in whole or in part, through publication on its website, its online archive, and on other digital communication platforms, including but not limited to Facebook, Tumblr, Twitter, Instagram, TikTok, LinkedIn, Vimeo, and similar (hereinafter, the “WEB”).

Such dissemination may also occur on communication platforms attributable, directly or indirectly, to the Company, commissioned to third parties and/or controlled by the Company.

The Author acknowledges that some social media/social networks, in their general terms and conditions of use, which cannot be derogated by the user, stipulate that uploaded content is subject to a non-exclusive, transferable, sublicensable, royalty-free, worldwide license. The Author hereby accepts such conditions in advance, waiving any claim against STEELBLOOM Srl.

ART. 8 – MORAL RIGHTS

STEELBLOOM Srl undertakes to respect and ensure that third parties respect the Author’s moral rights over the contents. However, should the Author’s name be omitted or incorrectly indicated for reasons exclusively attributable to third parties not party to this agreement (such as digital platforms, publishers, or external partners), STEELBLOOM Srl shall not be held liable.

ART. 9 – EXCLUSIVITY

Participation in the project does not entail, for either party, any exclusivity agreement.

The Author therefore does not grant any right of exclusivity to STEELBLOOM Srl, nor does he/she acquire any exclusive right by virtue of participating in the project.

ART. 10 – GENERAL RESPONSIBILITIES AND WARRANTIES

The Author warrants that:

• all contents are authentic and the result of his/her intellectual and manual activity, even if created with collaborators, and do not constitute plagiarism nor reproduce other works in a slavish manner;
• in case of using works by other Authors, he/she has previously obtained all necessary licenses and/or authorizations;
• the individuals portrayed in the contents have given valid consent for the exhibition, reproduction, and commercialization of their image, as well as for the processing, communication, and dissemination of personal data, in compliance with applicable regulations;
• there are no legislative, religious, racial, cultural, and/or social impediments to the dissemination and commercialization of the contents;
• any distinctive signs present in the works are reproduced with the prior authorization of their rightful owners.

At the request of STEELBLOOM Srl, the Author undertakes to provide copies of the relevant releases.

The Author assumes all liability for inaccuracies or incomplete information provided regarding copyright, captions, model releases, and the subjects represented. Under no circumstances shall STEELBLOOM Srl be held liable for economic or moral damages resulting from inaccurate or improper information provided by the Author.

ART. 11 – SPECIFIC WARRANTIES

The Author warrants that the submitted contents are original and that their use does not infringe third-party rights (e.g., copyrights, trademarks, image rights).

Should disputes, claims for damages, or legal actions by third parties arise in connection with the submitted contents, the Author undertakes to assume all liability, costs, or damages, holding STEELBLOOM Srl harmless from any obligation.

ART. 12 – PROHIBITIONS

Non-admissible works
The following works will not be accepted:

• works containing explicit sexual and/or child-pornographic content;
• incitement to hatred, violence, or ethnic, racial, religious, or gender intolerance;
• discriminatory elements based on ethnicity, gender, sexual orientation, religion, or disability;
• vulgar, racist, classist, sexist content, or otherwise harmful to the dignity, privacy, and image of others, as well as the reputation of third parties;
• materials that violate applicable laws, particularly those protecting minors.

Exclusion rights
STEELBLOOM Srl reserves the unquestionable right to:

• exclude from the project participants who submit works not compliant with the above provisions;
• reject works for lack of required technical standards.

Participation fee
In the event of exclusion due to violations of this article, any participation fee already paid shall not be refunded.

ART. 13 – ACCEPTANCE OF THE WORK

Each work will be subject to prior review by a moderator, responsible for verifying any violation of the prohibitions set out in Art. 12.

If the work complies with these provisions, the artist/creator will receive a confirmation notice, and the work will be published on STEELBLOOM Srl’s online platform and displayed in the digital galleries featured at events organized by STEELBLOOM Srl.

ART. 14 – PARTICIPATION IN OTHER EVENTS

Based on merit criteria, STEELBLOOM Srl may offer the opportunity to exhibit works in exhibitions hosted in prestigious venues and historic locations in the heart of art cities. Such opportunity shall in any case be previously agreed with the Author, with whom the modalities and conditions of participation will be defined.

ART. 15 – TERMS OF PARTICIPATION

Participation in the project is permitted to each Author upon completion of the online registration form and digital acceptance of this proposal.

Submission of the application implies full, integral, and unconditional acceptance of all the articles of this Regulation.

ART. 16 – PARTICIPATION FEE

To join the Noi Vivi Arte project, participants may choose one of the following participation options, each with different conditions and rights:

1. Noi Vivi Arte “Garden” – Free
Free registration allows the Author to join the Noi Vivi Arte online community.
With this option:

the Author may browse the works uploaded by other artists on the digital platform;

registration grants access to a network composed of artists, curators, gallery owners, collectors, media, foundations, associations, and art enthusiasts, useful for developing and promoting one’s projects.

2. Noi Vivi Arte “Rising Bloom” – € 3.00 (three/00)
With this option, the Author may upload one single work to be included in the Noi Vivi Arte platform.
Additionally:

the work will remain visible for a period of three (3) years also in the STEELBLOOM area located within Milan-Bergamo Airport, during the Play With Leonardo event;

the work will be digitally displayed on the Noi Vivi Arte interactive screen located in the boarding gate area, visited by approximately 17 million passengers annually;

works uploaded under this option may be selected by STEELBLOOM Srl for inclusion in its gadget line;

the Author may also be selected to exhibit the original work in exhibitions organized by STEELBLOOM Srl in prestigious historic venues located in art cities.

3. Noi Vivi Arte “Blooming Flower” – € 30.00 (thirty/00)
With this option, the Author may upload up to fifteen (15) works without time limits.
Additionally:

all works will be hosted on the Noi Vivi Arte platform;

the work chosen by the Author as most representative will remain visible for a period of three (3) years on the STEELBLOOM Visual Art Gallery, a large digital screen located in front of the boarding gates at Milan-Bergamo Airport, exclusively dedicated to “Blooming Flower” artists;

this location ensures high visibility, as it is a strategic area crossed by approximately 17 million passengers annually;

works uploaded under this option may be selected by STEELBLOOM Srl for the gadget line;

the Author may be selected to exhibit the original work in exhibitions organized by STEELBLOOM Srl in prestigious historic venues located in major art cities.

ART. 17 – RIGHT OF WITHDRAWAL

The Author may withdraw from this agreement at any time, without penalty and without obligation to provide justification, effective from the date of joining the project.

To exercise the right of withdrawal, the Author must send written notice to info@steelbloom.it, clearly indicating the intention to withdraw and specifying the following data: name, surname, and username used during registration.

The withdrawal will take effect from the date of receipt of such notice by STEELBLOOM Srl and will entail:

the cancellation of participation in the project;

the removal of the work from all official STEELBLOOM Srl channels, including the digital platform www.noiviviarte.it, as well as from any other communication or exhibition channels where the work may be displayed.

It is understood that any uses of the work made before the date of withdrawal, carried out in accordance with this Regulation, shall not give rise to any liability or obligation of removal on the part of STEELBLOOM Srl.

ART. 18 – GOVERNING LAW

Participation in the project is governed by substantive Italian law, with the express exclusion of private international law and procedural rules.

ART. 19 – JURISDICTION

For any dispute relating to the validity, interpretation, performance, or termination of this agreement, the exclusive jurisdiction shall lie with the Court of Verona, with the express exclusion of any alternative or concurrent forum.

Approval under Articles 1341 and 1342 of the Italian Civil Code
Pursuant to Articles 1341 and 1342 of the Italian Civil Code, the Author expressly approves the following clauses: Arts. 10 – 11 – 12 – 17 – 18.
